The following words will have special meanings in relation to this agreement:
| Commission | means the Commission payable by Us to You as specified in the Commission structure of each Policy as published by Us from time to time. |
| Material | means the Material provided by Us to You relating to Our business and products. |
| Our Website | means www.britishinsurance.co.uk and/or such other URL as we may notify You of from time to time. |
| Policy | means the insurance schemes We sell the details of which will be notified to You from time to time. We reserve the right to vary any Policy at any time on giving You notice in writing. |
| You/Your | means You the Website owner |
| Your Website | means the Website owned and managed by You upon which You intend to place Our Material |
| We/Us/Our | means British Insurance Limited, PO Box 6164 Braintree CM77 7ZW. |
1. Licence
1.1 We hereby grant You a non-exclusive licence to place a link to Our Website on Your Website for the purpose of marketing and selling Our Policy's.
1.2 The foregoing licence shall be limited to the purposes of establishing the link as described more fully below.
1.3 You agree to incorporate the link into Our Website as per our instructions which can vary from time to time.
2. Control of Web Site Content
2.1 You agree that Your Website will not contain Material which is illegal, defamatory or in any way likely to damage Our reputation or the reputation of Our Policy's.
2.2 You agree to notify Us of any significant changes to the content or structure of Your Website within 24 hours of the change. We may terminate this agreement with immediate effect if any significant change is in, Our sole discretion, detrimental to Our reputation of that of the Policy's.
2.3 Any advertising issued by You which relates to Us, this agreement or the Policy's shall only be issued with Our prior written consent.
3. Commission
3.1 We will pay You Commission in relation to each Policy sold via Your Website.
3.2 Commission will be paid within 28 days of the end of the month in which the Policy was sold provided the Commission amount is greater than £100. Where the Commission due is less than £100, We will pay Commission 28 days following the end of the month in which Commission exceeds £100.
4. Policy Sales
4.1 For the avoidance of doubt We reserve the right to refuse any application to purchase a Policy.
4.2 You will not:
(a) vary the terms of the Policy
(b) change or vary any premium or other payment or payment terms relating to a Policy or charge the buyer any additional fees in relation to the Policy.
(c) cancel or transfer any Policy without the prior written consent of the buyer
(d) purport to buying cover or suggest that You have the right to do so. For the avoidance of doubt, only an insurer or it's administrator can bind cover upon acceptance of an application.
5. Other Obligations
5.1 For the duration for this agreement and after termination for whatsoever reason You will:
(a) comply with the Financial Services Act 2000 in respect of Your obligations under this agreementincluding but not limited to a duty to treat Buyers fairly and compliance with advertising rules issued by the Financial Services Authority from time to time;
(b) comply with the Data Protection Act 1998 and further assist Us in Our compliance with that legislation specifically in accessing information when so requested by the public.
(c) comply with any other applicable rules and legislation.
6. Warranties and Indemnities
6.1 You warrant that:
(a) You are the owner of Your Website;
(b) that You have the authority and ability to maintain the contents of Your Website in accordance with this agreement;
(c) You will virus check all information being sent to Us or Our Website using industry standard virus checking software;
6.2 We warrant that We are authorised by the Financial Services Authority to sell the Policy's.
6.3 You agree to indemnify Us in respect of all costs, claims, damages, injury or such other liabilities as may arise out of:
(a) Your failure to comply with any provision of this agreement
(b) any damage to Our reputation or the reputation of the Policy caused by Your actions or negligence.
(c) Any breach of Your obligations set out in clause 5.
7. Term/Termination
7.1 This agreement shall commence on the date You first include the Material on Your Website and shall continue until either party gives the other not less than one Weeks notice to terminate.
7.2 Notwithstanding clause 7.1 We may terminate this agreement with immediate effect if:
(a) You fail to perform any of Your obligations under this agreement;
(b) You become insolvent, ceases to carry on Your business, have a receiver, liquidator, administrative receiver, administrator, trustee or other similar officer appointed over the whole or part of Your assets, or an order is made or a resolution is passed for Your winding up or if an administration order is made or You make an arrangement or assignment for the benefit of Your creditors or if any analogous event to any of the foregoing.
(c) where applicable, Your Financial Services Authority registration ends or is revoked for whatsoever reason.
7.3 In the event of termination for whatsoever reason You will:
(a) remove all the Material from Your Website
(b) cease to offer for sale the Policy's;
(c) return all buyer information and Materials to Us within one week;
(d) where appropriate, return all Policy information being held by You for the purpose of managing those Policy's and refrain from contacting any of those Policyholders directly. If a Policyholder contacts You, You must redirect them to Us using the contact details to be provided.
7.4 Termination of this agreement shall be without prejudice to the rights of the parties up to and including termination.
8. Limitation on Liability
8.1 We will not be liable or obligated under any section of this agreement or under contract, negligence, strict liability or other legal or equitable theory for any special, incidental or consequential damages.
8.2 Save for any liability for personal injury, death or fraudulent misrepresentation out entire liability to You pursuant to this agreement shall be limited to the level of Commission paid by Us to You in the 12 months prior to the claim arising.
